Article I - Name Section A -- Name The name of this organization is the Capital Area Manufacturing Council (hereinafter the “Council”). Article II - Purpose & Scope Section A -- Purpose The goal of this organization is to bring together individuals/companies to discuss issues common to the manufacturing community. The primary purpose of this organization is to: 1. Ensure manufacturing executives understand and act upon issues common to the manufacturing community. 2. Assure companies are aware of resources to enhance training and related workforce issues. 3. Discuss and develop solutions relative to the current and future workforce. 4. Offer a forum to report significant trends which could affect manufacturing. 5. Inform other organizations and policy makers concerning issues related to manufacturing. 6. Identify issues of common concern to area manufacturing organizations. Article III - Organization and Officers Section A -- Composition of Board The Operating Board is composed of five to 12 members of Capital Area Manufacturing Council members in good standing. The management of the day-to-day affairs of the Council is delegated to the officers (the “Executive Committee”). The officers Include: 1. A duly elected President and Vice President 2. Secretary 3. Treasurer Section B -- Selection and Terms of Board Members The officers shall be elected at the annual meeting from among its members for a one-year term commencing at the annual meeting each year. They shall hold office until the annual meeting following his or her election or until his or her successor is duly elected. Section C -- Duties of the Operating Board The duties of the Operating Board shall include:
Article IV - Membership Section A -- Membership Eligibility Membership is open to manufacturing firms and headquarter offices for manufacturing firms. The North American Industry Classification System (NAICS), or its predecessor, the Standard Industrial Classification (SIC) system, will determine the classification of manufacturing firms. Firms demonstrating a strong, direct relationship to manufacturing in the region may be approved for membership by the Operating Board. Members may be elected to office, serve on the Operating Board and vote on issues presented to the full Council. Section B -- Associate Membership Eligibility Organizations and non-manufacturing firms may join the Council as associate members. To be eligible for an associate membership, the applying entity must demonstrate a direct relevance to manufacturing activity in the region or the activities of the Council. The Operating Board may approve applications for associate membership. Article V - Meetings Section A -- Regular and Special Meeting The Capital Area Manufacturing Council shall meet bi monthly on the third Tuesday of the month. Meetings will be in January, March, May, July, September and November. The Executive Committee shall meet on the third Tuesday of alternate months. These meetings will be in February, April, June, August, October and December. Section B -- Notice of Meetings Members shall be notified by mail and or e-mail of all regular and special meetings. |
